These Terms of Service and this Disclaimer (together, the “Terms”) govern your access to and use of the Wall Street Friend website at wsfriend.com and all related pages, features, data, and content (collectively, the “Service”). The Service is operated by All Things AI, Inc., a Delaware corporation (“All Things AI,” “we,” “us,” or “our”). By accessing, browsing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. No Investment Advice

The Service is provided strictly for general informational and educational purposes. Nothing on the Service constitutes, or should be construed as, investment advice, financial advice, trading advice, tax advice, legal advice, or any other kind of advice or professional recommendation.

• Nothing on the Service is a recommendation, solicitation, endorsement, or offer to buy or sell any security, option, or other financial instrument, or to participate in any trading or investment strategy.

2. Not a Broker-Dealer or Investment Adviser

All Things AI, Inc. is not a registered broker-dealer, investment adviser (RIA), financial planner, or money manager, and is not registered with the U.S. Securities and Exchange Commission, FINRA, or any state securities regulator in any such capacity. We have no fiduciary duty to you and do not act as your agent.

3. No Warranty — “AS IS” and “AS AVAILABLE”

THE SERVICE AND ALL CONTENT, DATA, ANALYTICS, PREDICTIONS, AND MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL THINGS AI, INC. DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant or represent that the Service or any data will be accurate, complete, reliable, current, error-free, uninterrupted, secure, or available at any particular time or location, that defects will be corrected, or that the Service is free of viruses or other harmful components. Earnings dates, expected moves, and historical reaction statistics are derived from algorithms and third-party data and may contain errors or omissions. You assume all responsibility for verifying any information before relying on it.

4. Third-Party Data & Sources

The Service incorporates data from third parties. Market and price data are sourced from Alpaca (on the free tier, via the IEX feed, as end-of-day / daily bars rather than real-time streaming quotes). Company filings and earnings signals are derived from SEC EDGAR, including the use of 8-K Item 2.02 “Results of Operations” filings to infer earnings dates.

• Third-party data may be delayed, incomplete, inaccurate, or contain errors, and may be revised or withdrawn by the source at any time.
• Prices shown are generally end-of-day / daily bars and are not real-time streaming quotes; they should not be used for time-sensitive decisions.
• We are not responsible for the acts, omissions, errors, outages, or interruptions of any third-party data provider, and we make no warranty regarding any third-party data.
• Earnings-date predictions and expected moves are algorithmic estimates, not statements of fact, and are not provided or endorsed by the underlying data sources.

5. Forward-Looking & Predicted Information

The Service includes forward-looking and predicted information, such as predicted earnings dates (labeled with confidence levels of HIGH, MEDIUM, LOW, or APPROXIMATE based on the consistency of recent reporting intervals) and expected price moves. These are probabilistic estimates produced by statistical models, not guarantees, and they frequently differ — sometimes materially — from actual outcomes. Companies may report on dates other than predicted, and actual price reactions routinely diverge from historical patterns.

Past performance is not indicative of future results. Historical earnings reactions, backtest results, and statistics describing how a stock previously behaved provide no assurance of how it will behave in the future. No prediction, signal, or backtest should be treated as a reliable forecast or as a basis for any decision.

6. Assumption of Risk

Trading and investing in securities involve substantial risk, including the risk of losing some or all of the capital you commit. Markets are volatile and unpredictable. Trading around earnings events can be especially risky due to large, sudden price gaps. Options strategies carry additional and sometimes unlimited risk and are not suitable for all investors.

You acknowledge and agree that you use the Service entirely at your own risk and that you are solely responsible for any decisions you make and any actions you take, whether or not informed by the Service. All Things AI, Inc. is not responsible for any losses you may incur.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALL THINGS AI, INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE, OR YOUR RELIANCE ON ANY DATA, PREDICTION, OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICH, FOR A FREE SERVICE, IS USD $0), OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless All Things AI, Inc. and its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any decision or action you take in reliance on the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.

9. Intellectual Property

The Service, including its design, software, text, graphics, branding (including the “Wall Street Friend” name), and the selection, arrangement, and compilation of data and analytics, is owned by or licensed to All Things AI, Inc. and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own personal, non-commercial purposes only.

• You may not copy, scrape, crawl, harvest, reproduce, republish, redistribute, sell, license, or create derivative works from the Service or our data or compilations without our prior written permission.
• Underlying SEC EDGAR filings are U.S. government works in the public domain; however, our curation, analytics, derived signals, and presentation of that data are proprietary.
• All trademarks, logos, and service marks displayed that are not ours are the property of their respective owners and are used for identification only.

10. Acceptable Use

You agree that you will not, and will not attempt to:

• Use the Service for any unlawful, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation;
• Interfere with, disrupt, overload, or impair the operation, integrity, or security of the Service or any related systems or networks;
• Use bots, scrapers, crawlers, or other automated means to access, harvest, or extract data in bulk or beyond reasonable individual use;
• Circumvent, disable, or interfere with any rate limits, authentication, or security features;
• Reverse engineer, decompile, or attempt to derive the source code of the Service except to the extent permitted by law; or
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

You must be at least 18 years old to use the Service. We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected violation of these Terms.

The Service may contain links to, or rely on, third-party websites, data providers, or services (including Alpaca, SEC EDGAR, Google, and others). We do not control and are not responsible for the content, policies, accuracy, or practices of any third-party site or service. Links are provided for convenience only and do not imply our endorsement. Your use of any third-party site or service is at your own risk and subject to that third party’s own terms and policies.

12. Changes to the Service & These Terms

We may modify, suspend, or discontinue any part of the Service at any time, without notice or liability. We may also revise these Terms at any time by posting an updated version with a new “Last updated” date. Changes are effective when posted. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

13. Governing Law & Disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree that the exclusive jurisdiction and venue for any dispute that is not subject to informal resolution shall be the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Informal resolution first. Before filing any claim, you agree to first contact us at support@allthingsn.com and make a good-faith effort to resolve the dispute informally for at least sixty (60) days. Most concerns can be resolved this way.

14. Severability & Entire Agreement

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and All Things AI, Inc. regarding the Service and supersede any prior agreements or understandings on the subject. You may not assign these Terms; we may assign them freely.
